Welcome to Onpoid. These Terms & Conditions (“Terms”) govern your access to and use of our website, services, and solutions (“Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.


1. Services We Provide

Onpoid offers done-for-you automation services designed for private clinics, including but not limited to:

  • Appointment reminders and rescheduling sequences
  • No-show reduction campaigns
  • Post-visit review requests
  • Workflow automation to reduce admin workload
  • Revenue reporting dashboards

We are a service provider, not a software subscription company. Our role is to install, configure, and manage automation solutions that integrate with your existing systems.


2. Eligibility

Our Services are intended for business and professional use only. By using our Services, you confirm that you:

  • Are at least 18 years old
  • Are authorized to represent your clinic or practice
  • Have the legal capacity to enter into binding contracts

3. Payment & Fees

  • Our standard pricing is between $1,500 – $3,000 per month, depending on scope.
  • All invoices must be paid in U.S. Dollars unless otherwise agreed in writing.
  • Payments are due in advance of service each month.
  • Late payments may result in suspension of services.
  • Fees are non-refundable except as stated in Section 7 (Guarantee).

4. Client Responsibilities

To enable us to deliver results, you agree to:

  • Provide timely access to necessary systems (e.g., scheduling software, CRM, or email tools).
  • Supply accurate clinic information, contact details, and branding materials.
  • Ensure compliance with local laws regarding patient communication (including HIPAA where applicable).
  • Maintain responsibility for the accuracy of patient data shared with us.

5. Data & Privacy

  • Onpoid may process clinic and patient-related data strictly for the purpose of delivering Services.
  • We comply with all applicable privacy laws and implement security measures to protect sensitive data.
  • You remain the data controller of all patient information. Onpoid acts as a data processor.
  • We will not sell, rent, or misuse your data.

6. Results Disclaimer

While our Services are designed to reduce no-shows, save admin time, and recover revenue, results may vary depending on clinic type, staff cooperation, and market conditions.

  • Onpoid does not guarantee a specific dollar amount of revenue recovery.
  • Metrics provided in case studies are illustrative and may not reflect your exact outcome.

7. Guarantee

We offer a 30-day results guarantee:

  • If your clinic does not see measurable improvements (e.g., no-shows reduced, revenue recovered, admin time saved) within 30 days, you may cancel and owe nothing beyond your initial setup fee.
  • To claim this guarantee, you must provide access to your scheduling and reporting data so results can be verified.

8. Intellectual Property

  • All automation workflows, templates, and proprietary processes created by Onpoid remain our intellectual property.
  • Clinics are granted a limited license to use these workflows for as long as they remain paying clients.
  • Upon termination, access to proprietary systems will be revoked.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Onpoid is not liable for indirect, incidental, or consequential damages (including lost profits, data breaches, or business interruptions).
  • Our total liability under these Terms will not exceed the amount you paid us in the past 3 months.

10. Termination

  • Either party may terminate Services with 30 days’ written notice after the initial 30-day engagement period.
  • We reserve the right to terminate immediately if payments are not made, access is revoked, or terms are breached.

11. Non-Solicitation

You agree not to directly hire or solicit any Onpoid employees or contractors during the term of our agreement and for 12 months thereafter.


12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of laws principles.


13. Changes to Terms

We may update these Terms from time to time. The latest version will always be posted on our website with the updated “Last Updated” date. Continued use of Services constitutes acceptance of the new Terms.
